Article I – Name, Location, and Type of Organization
Section 1: The name of this organization shall be the Northeast Idaho Beekeepers Association (“NIBA”).
Section 2: The Northeast Idaho Beekeepers Association shall serve members located in Northeast Idaho, southwestern Montana, and western Wyoming.
Section 3: The Northeast Idaho Beekeepers Association is a not-for-profit organization, incorporated in the State of Idaho.
Article II – Purpose
Section 1: The purpose of the Northeast Idaho Beekeepers Association shall be to:
- Preserve and promote apiculture
- Promote hobby beekeeping
- Provide information and education about bees and beekeeping to the general public
- Provide support to members interested in developing and maintaining bee colonies
- Provide opportunities to meet and become educated about beekeeping at workshops, educational programs, and at regularly scheduled meetings
- Provide resources for members to work collectively to obtain materials, supplies, and equipment for beekeeping
- Enable members to become mentors to less-experienced beekeepers
- Ensure members have access to discounts, promotions, and other incentives provided by businesses to members of beekeeping organizations
Article III – Members
Section 1: Members of NIBA shall be individuals who:
- Are interested in apiculture and beekeeping
- Attend at least two Association meetings per year
- Pay annual dues to the association
Section 2: Members shall be provided with a card signifying membership in the Association. The cards shall remain the property of the Association.
Section 3: Members may at any time withdraw membership by providing written communication to the Secretary/Treasurer of their intent. No refund of any dues paid shall be made upon withdrawal. The member’s Association membership card shall be surrendered to the Secretary/Treasurer at the time that the member withdraws.
Article IV – Dues
Section 1: Annual dues shall be established by the Board of Directors of the Association and are payable at such time as the Directors shall determine.
Article V – Officers
Section 1: The Officers of the Association shall be a President, Vice President, Secretary/Treasurer, and Immediate Past President.
Section 2: The Officers of the Association shall constitute the Board of Directors for the Association.
Section 3: The President shall be the chief executive officer of the Association. The President shall preside at all Association meetings. The President is responsible for the good order and maintenance of the Association.
Section 4: In the absence of the President, the Vice President shall be the executive officer of the Association and shall preside at meetings. The Vice President shall carry out assignments as directed by the President for the good of the Association.
Section 5: The Secretary/Treasurer shall maintain a list of Association members in good standing and make the list available to members. The Secretary/Treasurer shall keep the minutes of the Association meetings and a record of any business conducted at Association meetings. The Secretary/Treasurer shall keep minutes of Board of Director meetings and a record of any business conducted during Board of Director meetings. In the absence of the President and Vice President, the Secretary/Treasurer shall preside at meetings. The Secretary/Treasurer shall carry out assignments as directed by the President for the good of the Association.
Section 6: The Secretary/Treasurer shall be responsible for maintaining the funds of the Association and providing an accounting of all expenses made on behalf of the Association. An accounting of all Association expenses made during the previous calendar year shall be provided to the Association members at the first regular Association meeting of the next year.
Section 7: The office of Immediate Past President is provided to ensure continuity in Association leadership. The current President shall become the Immediate Past President on expiration of his/her term of office on December 31. If the current President is re-elected to another term, the current Immediate Past President shall continue in office for the next year. In the absence of the President, Vice President, or Secretary/Treasurer, the Immediate Past President shall preside at meetings. The Immediate Past President shall carry out assignments as directed by the President for the good of the Association.
Section 8: Elections for Association Officers shall take place during the last scheduled Association meeting of the year. Elections shall be held for President, Vice President, and Secretary/Treasurer. A quorum of Association members must be present for the elections to be valid. If a quorum is not present, then the elections shall take place at the next meeting where a quorum is present. The members present at the meeting shall nominate and vote for the new officers. The position of Immediate Past President is not an elective position.
